By accessing or using Soxfy's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

Soxfy provides AI-powered audit testing automation services, including attribute detection, evidence annotation, validation, and reporting capabilities for SOX, ITGC, and other audit use cases.

User Accounts

To access certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and current

Acceptable Use

You agree not to:

• Use the services for any unlawful purpose
• Upload content that violates third-party rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the services
• Reverse engineer or decompile our software
• Use the services to build a competing product

Intellectual Property

The Soxfy platform, including all software, algorithms, designs, and content, is owned by Soxfy, Inc. and protected by intellectual property laws. You retain ownership of your data and content uploaded to the platform.

Data and Privacy

Your use of our services is also governed by our Privacy Policy. You represent that you have the right to upload any data you provide and that doing so does not violate any third-party rights or applicable laws.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue services with reasonable notice when possible.

Limitation of Liability

To the maximum extent permitted by law, Soxfy, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

Disclaimer of Warranties

The services are provided "as is" without warranties of any kind, either express or implied. Soxfy does not warrant that the services will meet your requirements or be error-free. The output of Soxfy should be reviewed by qualified audit professionals before use.

Indemnification

You agree to indemnify and hold harmless Soxfy, Inc. from any claims, damages, or expenses arising from your use of the services, violation of these terms, or infringement of third-party rights.

Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the services will cease. Sections that by their nature should survive termination will remain in effect.

Changes to Terms

We may modify these terms at any time. We will provide notice of material changes. Your continued use of the services after changes constitutes acceptance of the modified terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
